Bank of America’s Prueher and Franks resign; total members to quit rises to 7

In a regulatory filing, Bank of America Corp said that the total number of top-rung members to have quit the company since April has risen to seven - with retired Admiral Joseph Prueher and retired General Tommy R. Franks resigning as directors on Wednesday, June 17.

The company clarified that the two directors' "decision to resign was not as a result of any disagreement with the corporation or its management."

According to Bloomberg data, the 66-year-old Prueher - who was one of three directors of Merrill Lynch & Co. to join the Bank of America board in January, after the bank's acquisition - was paid $291,507 in cash and stock in 2006 by Merrill.

Meanwhile, the 64-year-old four-star general Franks - who retired from the US Army in 2003; joined the Bank of America board in January 2006 and was a member of the audit committee - was paid $210,517 in 2007 and $127,376 in cash and stock for 2008.

The other five members to have left Bank of America include - Bank directors Jackie M. Ward and Patricia E. Mitchell; Lead Director O. Temple Sloan; retired CEO at Lowe's Cos Robert Tillman; and the recently-retired Meredith Spangler.

The new directors to have joined the Charlotte, North Carolina-based bank include ex-Federal Reserve Board Governor Susan Bies; ex-Federal Deposit Insurance Corp Chairman Donald Powell; Paul Jones and William Boardman.
